1. Regulatory Status and Important Disclaimers

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY BEFORE USING THE SERVICE.

SnipeRoute ("Company," "we," "us," or "our") operates SnipeRoute ("Service") as a technology infrastructure service that routes order instructions between systems. We are:

  • NOT regulated by the Dubai Financial Services Authority (DFSA) in the Dubai International Financial Centre (DIFC)
  • NOT regulated by the Financial Services Regulatory Authority (FSRA) in the Abu Dhabi Global Market (ADGM)
  • NOT a broker, dealer, investment advisor, investment manager, or custodian
  • NOT a provider of financial services, financial products, or financial advice
  • NOT licensed, registered, or authorized to conduct any regulated financial activity in any jurisdiction

The Service is purely a technical order transmission infrastructure. We do not make any investment decisions, provide any trading signals, or exercise any discretion over the orders we transmit. Users are solely responsible for ensuring their own compliance with all applicable laws and regulations in their jurisdiction.

The Service is not intended to constitute, and does not constitute, any activity that would require authorization under the DFSA Rulebook or FSRA Financial Services and Markets Regulations. Users acknowledge and agree that SnipeRoute falls outside the regulatory perimeter for financial services.

2. Definitions

In these Terms of Service:

  • "Trade Intent" means a fully specified set of order parameters provided by the User or an authorized upstream system.
  • "Order Instruction" means the translation of a Trade Intent into the Broker's API format for transmission.
  • "Broker" means any regulated financial institution that validates, accepts, and executes orders on behalf of the User.
  • "Service" refers to SnipeRoute's technical order instruction transmission infrastructure.
  • "User" means any individual or entity that accesses or uses the Service.
  • "Upstream System" means any third-party application, platform, or service authorized by the User to submit Trade Intents to SnipeRoute.

3. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These Terms constitute a legally binding agreement between you and SnipeRoute.

4. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

5. Description of Service

SnipeRoute is a non-discretionary order instruction routing service that:

  • Receives fully-specified Trade Intents from Users or authorized Upstream Systems
  • Converts Trade Intents into Broker API-compatible Order Instruction formats
  • Transmits Order Instructions to the User's connected Broker(s) via their APIs exactly as specified, without modification

Key Characteristics of Our Service:

  • Non-Discretionary: We transmit orders exactly as specified by the User or their authorized systems. We do not modify, optimize, or exercise any judgment over order parameters.
  • Deterministic Transmission: Order Instructions are transmitted as received. There is no price improvement, smart order routing, or market-based optimization.
  • User Control: Users retain full control and approval authority over all orders. Users may revoke access at any time.
  • Non-Custodial: We never hold, control, or have access to User funds or securities.
  • No Order Aggregation: SnipeRoute does not aggregate, pool, batch, or combine User orders. Each Order Instruction is transmitted individually on a per-User basis.
  • No Market Access: SnipeRoute has no access to, and does not interact with, any market order book, exchange system, liquidity venue, or execution environment.

SnipeRoute does NOT:

  • Provide trading advice, recommendations, research, or signals
  • Make discretionary investment decisions on behalf of Users
  • Hold, custody, or manage User funds or securities
  • Act as a broker, dealer, market maker, or investment advisor
  • Generate, analyze, or interpret market data for trading purposes
  • Execute, fill, or match orders (Brokers do this)
  • Guarantee best execution or price improvement
  • Enrich, analyze, interpret, score, filter, or optimize Trade Intents

6. Broker Relationships and Compliance

Broker Independence: The Brokers you connect to SnipeRoute (e.g., Alpaca, Interactive Brokers, Charles Schwab) are independently regulated financial institutions. Each Broker operates under its own regulatory licenses and is solely responsible for:

  • Order validation, risk management, and execution
  • Know Your Customer (KYC) verification and due diligence
  • Anti-Money Laundering (AML) compliance and monitoring
  • Custody of your funds and securities
  • Regulatory reporting and compliance in their jurisdictions
  • Best execution obligations (where applicable)

Direct User-Broker Relationship: Your contractual relationship for trade execution is exclusively with your Broker. SnipeRoute is not a party to any transaction you enter into with your Broker.

User Compliance Responsibilities: By using the Service, you represent and warrant that:

  • You have completed all required KYC/AML verification with your Broker(s)
  • You are not subject to any sanctions, restrictions, or prohibitions that would prevent you from trading
  • You are in compliance with all applicable securities laws and regulations in your jurisdiction
  • You have the legal capacity and authority to enter into trading transactions
  • The funds used for trading are from legitimate sources and do not represent proceeds of illegal activity

SnipeRoute does NOT:

  • Perform KYC verification or identity checks on Users
  • Monitor transactions for AML compliance
  • Verify the source or legitimacy of User funds
  • Report suspicious activities (this is your Broker's responsibility)

7. Broker Account Connections

To use the Service, you connect your Broker account(s) via OAuth or API credentials:

  • OAuth Connections: You authorize SnipeRoute to access your Broker account via secure OAuth protocols. We store encrypted access tokens, not your Broker login credentials.
  • Token Security: Access tokens are encrypted at rest using AES-256 encryption. Tokens are never shared with Upstream Systems that submit Trade Intents.
  • Revocation: You may revoke SnipeRoute's access to your Broker account at any time through your Broker's account settings, through the SnipeRoute dashboard, or by contacting us.
  • No Password Storage: We never store your Broker username or password.

8. Order Transmission Disclaimers

YOU ACKNOWLEDGE AND AGREE THAT:

  • No Execution Guarantee: We do not guarantee that any Order Instruction will be executed by your Broker. Execution depends entirely on your Broker's systems, policies, and market conditions.
  • Broker Rejections: Your Broker may reject, modify, or cancel orders for any reason (insufficient funds, risk limits, market conditions, regulatory requirements, etc.). We are not responsible for Broker rejections.
  • Technical Failures: Order transmission may fail due to network latency, API errors, system outages, or other technical issues. We are not responsible for transmission failures.
  • Market Conditions: Market conditions may affect whether and how your orders are filled. Prices may move between order submission and execution.
  • No Best Execution: We have no obligation to seek best execution, price improvement, or optimal routing. We transmit orders to the Broker you specify.
  • Timing: We do not guarantee any specific timing for order transmission. Network and system conditions may cause delays.

Inherent System Risks: Users acknowledge that all electronic systems have inherent risks, including delays, outages, errors, and transmission failures. Users agree they will not hold SnipeRoute responsible for any losses resulting from such issues.

9. User Responsibilities

By using the Service, you acknowledge and agree that:

  • You are solely responsible for all Trade Intents you submit or authorize to be submitted to the Service
  • You have the authority and capacity to enter into financial transactions at your Broker
  • You understand the risks associated with trading securities, derivatives, and other financial instruments
  • You will comply with all applicable laws, regulations, and your Broker's terms of service
  • You will not use the Service for any unlawful, fraudulent, or prohibited purpose
  • You are responsible for the security of your account credentials and API keys
  • You will promptly notify us of any unauthorized access to your account

10. No Investment Advice

Nothing in the Service constitutes investment, financial, legal, tax, or any other form of professional advice. SnipeRoute is a technical routing service only. The transmission of Order Instructions does not constitute a recommendation to buy, sell, or hold any security or financial instrument.

Any automated routing of User-generated instructions is purely mechanical and does not constitute suitability analysis, appropriateness assessment, or discretionary portfolio management. We do not assess whether your trading activity is suitable or appropriate for you.

You should consult with qualified professionals (financial advisors, tax advisors, legal counsel) before making any investment decisions. We strongly recommend you understand the risks of any trading strategy before connecting it to your brokerage account.

11. Intellectual Property

All intellectual property rights in the Service, including but not limited to software, APIs, documentation, trademarks, and trade secrets, are owned by SnipeRoute or its licensors.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

You may NOT:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Sublicense, resell, or redistribute the Service
  • Use the Service to build a competing product
  • Remove or alter any proprietary notices or labels
  • Use our trademarks without prior written permission

12. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SNIPEROUTE TECHNOLOGIES FZ-LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Without limiting the foregoing, we are not liable for any losses resulting from:

  • Broker system failures, outages, delays, or errors
  • Order Instruction delivery failures due to network issues
  • Incorrect, incomplete, or unauthorized Trade Intents
  • Market conditions, price movements, or market volatility
  • Broker rejections, modifications, or cancellations of orders
  • Delays in order transmission or execution
  • Actions or omissions of your Broker or any third party
  • Unauthorized access to your account due to your failure to protect credentials
  • Regulatory actions affecting your ability to trade

13. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, or extreme weather events
  • War, terrorism, civil unrest, or armed conflict
  • Government actions, regulatory changes, or sanctions
  • Market disruptions, exchange closures, or trading halts
  • Broker or exchange system outages or failures
  • Cyber attacks, hacking, or security breaches affecting third-party systems
  • Internet or telecommunications failures
  • Power outages or infrastructure failures
  • Pandemics, epidemics, or public health emergencies
  • Labor disputes or strikes

14. Indemnification

You agree to indemnify, defend, and hold harmless SnipeRoute, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights
  • Any Trade Intents you submit or authorize
  • Any dispute between you and your Broker

15. Account Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include:

  • Violation of these Terms
  • Suspected fraudulent, illegal, or abusive activity
  • Request from law enforcement or regulatory authorities
  • Extended periods of inactivity
  • Discontinuation of the Service

You may terminate your account at any time through the dashboard or by contacting us. Upon termination, your right to use the Service will immediately cease, and we will delete your Broker connection tokens within 30 days.

16. Modifications to Terms

We may modify these Terms at any time at our sole discretion. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. For significant changes, we may also notify you by email.

Your continued use of the Service after the effective date of any modifications constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai, without regard to conflict of law principles.

Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be settled by binding arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its arbitration rules. The seat of arbitration shall be Dubai, UAE. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties. Arbitration shall be the exclusive method of dispute resolution unless local law requires otherwise.

Jurisdiction: Subject to the arbitration clause above, the courts of Dubai, UAE shall have exclusive jurisdiction over any disputes not subject to arbitration.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of any other provision of these Terms.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and SnipeRoute regarding the Service. These Terms supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, regarding the Service.

20. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.

21. Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

22. Survival

The following sections shall survive termination or expiration of these Terms: Regulatory Status and Important Disclaimers, Definitions, Broker Relationships and Compliance, Order Transmission Disclaimers, No Investment Advice, Intellectual Property, Disclaimers and Limitation of Liability, Force Majeure, Indemnification, Governing Law and Dispute Resolution, Severability, and any other provision which by its nature should survive termination.
